ACKNOWLEDGEMENT & ACCEPTANCE OF USER TERMS

 

Vessential ("Us" Our, "We") provides the Vessential.net site and various related services (collectively, the "site") to you, the user, subject to your compliance with all the terms, conditions, and notices contained or referenced herein (the "Terms of Use"), as well as any other written agreement between us and you. In addition, when using particular services or materials on this site, users shall be subject to any posted rules applicable to such services or materials that may contain terms and conditions in addition to those in these Terms of Use. All such guidelines or rules are hereby incorporated by reference into these Terms of Use.

 

By visiting our site and/or purchasing something from us, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any services. If these Terms of Service are considered an offer, acceptance is expressly limited to these Terms of Service.

 

These Terms of Use are effective as of the "Last updated" date identified at the top of this page. We expressly reserve the right to change these Terms of Use from time to time without notice to you. You acknowledge and agree that it is your responsibility to review this site and these Terms of Use from time to time and to familiarize yourself with any modifications. Your continued use of this site after such modifications will constitute acknowledgement of the modified Terms of Use and agreement to abide and be bound by the modified Terms of Use. However, for any material modifications to the Terms of Use or in the event that such modifications materially alter your rights or obligations hereunder, such amended Terms of Use will automatically be effective upon the earlier of (i) your continued use of this site with actual knowledge of such modifications, or (ii) 30 days from publication of such modified Terms of Use on this site. Notwithstanding the foregoing, the resolution of any dispute that arises between you and us will be governed by the Terms of Use in effect at the time such dispute arose.

 

As used in these Terms of Use, references to our "Affiliates" include our owners, subsidiaries, affiliated companies, officers, directors, suppliers, partners, sponsors, and advertisers, and includes (without limitation) all parties involved in creating, producing, and/or delivering this site and/or its contents.

 

OVERVIEW

To ensure the quality of the Vessential experience we have set up our terms of service for our mutual benefit. If you violate these rules it will mean you've broken the terms of service and which may result in a termination of your account.

 

Tasks and concierge requests are non-transferable. Your Vessential account is also non-transferable. That means if one person signs up, you cannot transfer ownership of that account to another person.

 

All Vessential plans are recurring subscriptions that can be terminated at any time.

 

Any agreement or attempted agreement between client and assistant, in connection with a service contract, requiring that payment be made outside of Vessential shall constitute a material breach of this agreement and be subject to termination without refund.

REQUEST OR TASKS

Each request or task must be submitted by email or SMS. Please send your requests individually: this means that each communication you have with your assistant should contain one, defined, task. You're more than welcome to submit multiple tasks at one time, but we ask that you create a separate email for each. This ensures the fastest possible turn around for each task. 

 

If you ever feel like your service could be better, you can contact us by telephone or email us at support@vessential.net. Agreeing to these terms of service means you understand and agree to keep your tasks within the scope of our business.

 

 

OWNERSHIP & CONFIDENTIALITY

If a Virtual Assistant creates anything original for you, such as research projects, reports, templates, spreadsheets, forms, etc. ("Work Product"), Vessential grants to you a non-exclusive, royalty-free, perpetual, irrevocable, non-transferable license to use the Work Product for your own personal and commercial purposes. Vessential owns the Work Product and has the right to use and disclose the Work Product to any third party, provided that Vessential will not disclose your confidential information to any third party.

 

To avoid doubt, you retain sole ownership of your confidential information and your intellectual property and, to the extent your confidential information or intellectual property is incorporated into the Work Product, it will be removed prior to any use or disclosure by Vessential to a third party. As used in these Terms of Service, your confidential information means non-public information that you provide to Vessential or a Virtual Assistant that you reasonably expect Vessential to keep secret, including your personal information (i.e., your name, your social security number, your credit card information, and similar information), but does not include information that (1) becomes generally available to the public other than an unauthorized disclosure by Vessential or a Virtual Assistant; (2) was or becomes available to Vessential or a Virtual Assistant on a non-confidential basis prior to your disclosure of the information to Vessential or a Virtual Assistant; (3) is independently developed by Vessential or a Virtual Assistant without using your confidential information; or (4) information we are required to disclose by a warrant, subpoena or other request in an investigation or legal proceeding or where disclosure is necessary to protect Vessential’s rights or property, or the rights or property of Virtual Assistants or our other clients.

 

As used in these Terms of Service, your intellectual property means patents, trademarks and copyrights owned by you and any insights, knowledge, and ideas provided by you in connection with creation of the Work Product.

 

 

WARRANTY

There is no warranty on any of the information, tasks, or projects your Virtual Assistant completes for you. What we will promise is that we'll do our best to provide the most accurate, most effective information available and we know Virtual Assistants do this better than anyone else. However, if we give you information or results that are wrong, although we'll be deeply sorry, you can't hold us liable for it or the results legally and/or morally.

 

 

TERMINATION

If you leave us, we'll miss you dearly. Monthly memberships can be terminated at any time with no additional fees or hassle. To terminate, just email your assistant or contact our Client Success team: support@vessential.net and ask us to terminate your subscription.

Unused hours must be used by the end of your billing cycle.

 

 

ROLL OVER HOURS

Unused Plan hours roll over to next month as long as you remain a subscriber.  Maximum monthly rollovers hours are limited to the Plan hours (i.e. Maximum Project Plan rollover is limited 20 hours). Exception: Task Plan

TERMINATION OF POLICY

We reserve the right to terminate the service of a Vessential’s client at any time — for any reason. That means that rarely and under great duress we may end our relationship with a client for any number of reasons including but not limited to the following:

 

1. If the client is constantly requesting tasks outside the scope of their service plan and we're unable to find a solution by scaling back the requests

2. If the client is abusive to his/her assistant or any other Vessential team member


 

PRIVACY POLICY

 

INTRODUCTION

When you purchase something from our store, as part of the buying and selling process, we collect the personal information you give us such as your name, address and email address.

 

When you browse our store, we also automatically receive your computer’s internet protocol (IP) address in order to provide us with information that helps us learn about your browser and operating system.

 

Email marketing (if applicable): With your permission, we may send you emails about our store, new products and other updates.

 

CONSENT

How do you get my consent?

When you provide us with personal information to complete a transaction, verify your credit card, place an order, arrange for a delivery or return a purchase, we imply that you consent to our collecting it and using it for that specific reason only. We will also use your email address to send newsletters, promotions and information we find will be valuable to you.

 

How do I withdraw my consent?

If after you opt-in, you change your mind, you may withdraw your consent for us to contact you, for the continued collection, use or disclosure of your information, at anytime, by contacting us at support@vessential.com or clicking Unsubscribe in email received.

 

DISCLOSURE

We may disclose your personal information if we are required by law to do so or if you violate our Terms of Service.

 

PAYMENTS

Your data is stored through secure servers, databases and the general payment gateway. They store your data on a secure server behind a firewall.

Payment:

 

If you choose a direct payment gateway to complete your purchase, then stores your credit card data. It is encrypted through the Payment Card Industry Data Security Standard (PCI-DSS). Your purchase transaction data is stored only as long as is necessary to complete your purchase transaction and to allow for future rebilling. After your membership is cancelled, your purchase transaction information is deleted.

 

All direct payment gateways adhere to the standards set by PCI-DSS as managed by the PCI Security Standards Council, which is a joint effort of brands like Visa, MasterCard, American Express and Discover.

 

PCI-DSS requirements help ensure the secure handling of credit card information by our store and its service providers.

 

THIRD-PARTY SERVICES

In general, the third-party providers used by us will only collect, use and disclose your information to the extent necessary to allow them to perform the services they provide to us.

 

However, certain third-party service providers, such as payment gateways and other payment transaction processors, have their own privacy policies in respect to the information we are required to provide to them for your purchase-related transactions.

 

For these providers, we recommend that you read their privacy policies so you can understand the manner in which your personal information will be handled by these providers.

 

In particular, remember that certain providers may be located in or have facilities that are located a different jurisdiction than either you or us. So if you elect to proceed with a transaction that involves the services of a third-party service provider, then your information may become subject to the laws of the jurisdiction(s) in which that service provider or its facilities are located.

 

As an example, if you are located in Canada and your transaction is processed by a payment gateway located in the United States, then your personal information used in completing that transaction may be subject to disclosure under United States legislation, including the Patriot Act.

 

Once you leave our website or are redirected to a third-party website or application, you are no longer governed by this Privacy Policy or our website’s Terms of Service.

When you click on links on our store, they may direct you away from our site. We are not responsible for the privacy practices of other sites and encourage you to read their privacy statements.

To protect your personal information, we take reasonable precautions and follow industry best practices to make sure it is not inappropriately lost, misused, accessed, disclosed, altered or destroyed.

Although no method of transmission over the Internet or electronic storage is 100% secure, we follow all PCI-DSS requirements and implement additional generally accepted industry standards.

While using our Service, we may ask you to provide us with certain personally identifiable information that can be used to contact or identify you. Personally identifiable information may include, but is not limited to, your name and phone number (“Personal Information”).

 

Log Data
We collect information that your browser sends whenever you visit our Service (“Log Data”). This Log Data may include information such as your computer’s Internet Protocol (“IP”) address, browser type, browser version, the pages of our Service that you visit, the time and date of your visit, the time spent on those pages and other statistics.

Cookies are files with small amount of data, which may include an anonymous unique identifier. Cookies are sent to your browser from a web site and stored on your computer’s hard drive.

 

We use “cookies” to collect information. You can instruct your browser to refuse all cookies or to indicate when a cookie is being sent. However, if you do not accept cookies, you may not be able to use some portions of our Service.

We may employ third party companies and individuals to facilitate our Service, to provide the Service on our behalf, to perform Service-related services or to assist us in analyzing how our Service is used.


These third parties have access to your Personal Information only to perform these tasks on our behalf and are obligated not to disclose or use it for any other purpose.

The security of your Personal Information is important to us, but remember that no method of transmission over the Internet, or method of electronic storage is 100% secure. While we strive to use commercially acceptable means to protect your Personal Information, we cannot guarantee its absolute security.

 

CONSENT

By using this site, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this site.
